Addendum to ACH Authorization Agreement

Just Prime Distro – ACH Authorization Terms & Conditions
1. Authorization & Agreement
By signing the ACH Authorization Form, the business (“Customer”) authorizes Just Prime Distro (“Company”) to electronically debit their bank account for wholesale goods and services provided. This authorization includes one-time and recurring payments as outlined in the invoice or agreement.
2. Payment Terms
• Payments will be automatically deducted next day after delivery of goods.
• The total amount due will be based on the invoice issued upon order fulfillment.
• Customers agree to maintain sufficient funds in their account to cover the withdrawal.
3. Insufficient Funds & Declined Transactions
• If an ACH transaction is declined due to insufficient funds, incorrect account details, or other banking errors, a $60 service charge will be applied.
• Just Prime Distro reserves the right to reattempt the payment within 3 business days if the initial transaction is declined.
• If payment remains unresolved after two failed attempts, the Company may suspend further deliveries and impose additional collection fees. We have full rights to collect delivered merchandise.
4. Cancellation & Revocation
• Customers may revoke this authorization by providing written notice at least five (5) business days before the next scheduled transaction.
• Revocation does not waive any outstanding balances owed to Just Prime Distro.
5. Dispute Resolution
• If a Customer believes a payment was processed in error, they must notify Just Prime Distro within 10 business days of the transaction date.
• Disputed transactions will be reviewed, and if an error is found, a refund or adjustment will be processed within 7 business days.
6. Liability & Indemnification
• Just Prime Distro is not responsible for banking errors, delays in processing, or any indirect losses resulting from ACH transactions.
• The Customer agrees to indemnify and hold Just Prime Distro harmless from any claims, losses, or damages related to ACH debits authorized under this agreement.
7. Compliance with Laws & Regulations
• All ACH transactions comply with NACHA regulations and applicable federal and state laws.
• By authorizing ACH payments, the Customer acknowledges that they have the legal authority to permit debits from the specified account.
8. Modifications to Terms
• Just Prime Distro reserves the right to modify these terms and conditions with 30 days’ notice to Customers.
• Continued use of ACH payments constitutes acceptance of any updated terms.
9. Governing Law
• This agreement shall be governed by and interpreted under the laws of Florida and any disputes shall be resolved in the appropriate jurisdiction.
Customer Acknowledgment & Agreement
By signing or submitting the ACH Authorization Form, the Customer acknowledges and agrees to these terms and conditions.
